Note: This paper is divided into five Sections- A, B, C, D, & E. Section-A (Short Answer Questions) contains one question of ten parts requiring short answer. All these ten parts are compulsory. Sections- B, C, D, & E (Descriptive Answer Question) each contains two questions. Attempt one question from each Section. Answer must be descriptive.

नोट: इस प्रश्न-पत्र को पांच खण्डों-अ, ब, स, द, एवं इ में विभाजित किया गया है | खण्ड-अ ( लघु उत्तरीय प्रश्न) में एक लघु उत्तरीय प्रश्न है, जिसके दस भाग है | ये सभी दस भाग अनिवार्य है | खण्डों-ब, स, द, एवं इ (विस्तृत उत्तरीय प्रश्न) प्रत्येक में दो प्रश्न है | प्रत्येक खण्ड से एक प्रश्न कीजिए | विस्तृत उत्तर अपेक्षित है |

खण्ड-अ

(Short Answer Question)

(लघु उत्तरीय प्रश्न)

This Section contains one question of ten parts requiring short answer. Each part carries 4 marks.

इस खण्ड में एक प्रश्न के दश भागों के लघु उत्तर अपेक्षित है | प्रत्येक भाग 4 अंको का है |

1. (a) Define a foreign company.
विदेश कम्पनी को परिभाषित कीजिए |
(b) What is shelf Prospectus?
‘अलमारी की दराज’ विवरण-पत्र क्या है?
(c) Write short notes on “Corporate Veil.”
“समामेलन आवरण’” पर संक्षिप्त टिप्पणी कीजिए|
(d) Describe the Doctrine of Indoor Management.
आन्तरिक प्रबन्ध के सिध्दान्त की व्याख्या कीजिये|
(e) what do you understand by Blank Transfer?
“कोरा या रिक्त हस्तान्तरण” से आप क्या समझते है?
(f) Who can become the member of a company?
कम्पनी का सदस्य कौन हो सकता है?
(g) Can divided be paid out of Capital Reserves?
क्या लाभांश का भुगतान पूंजी संचय से किया जा सकता है?
(h) What is statutory meeting?
वैधानिक सभा क्या है?
(i) Explain the legal position of a company’s Director.
कम्पनी के संचालक की वैधानिक स्थिति की व्याख्या कीजिये|
(j) “In a company the will of majority is supreme”. Explain.
”कम्पनी में बहुमत की इच्छा सर्वोपरि होती है” समझाइए|

Each section contains two questions. Attempt one question from each section. Each question carries 15 marks. Answer must be descriptive.

Section-B

2. What so you understand by a Private company? Discuss the privileges and exemptions enjoyed by a private company as against a public company.
निजी कम्पनी से आप क्या समझते है? एक सार्वजनिक कम्पनी की तुलना में एक निजी कंपनी को प्राप्त विशेषाधिकार एवं छूटों का वर्नण कीजिए

3. Is it compulsory for each company to have its own articles? State briefly its contexts.
क्या प्रत्येक कम्पनी के लिए स्वयं का अन्तर्नियम होना अनिवार्य है? संक्षेप में इसकी विषय सामग्री लिखिये?

4. What is the Share Warrant? What is the difference between share certificate and share warrant?
अंश अधिपत्र से क्या आशय है? अंश प्रमाण-पत्र तथा अधिपत्र में क्या अन्तर है?

5. Distinguish between floating charger become a fixed charge?
चल भार तथा स्थिर भार में अन्तर बताईये| चल प्रभार कब स्थिर हो जाता है?

6. Give the definition of resolution. Describe the different types of resolution which can be passed at a company meeting.
प्रस्त्तव की परिभाषा दीजिए| कम्पनी सभा में स्वीकार किये जाने वाले विभिन्न प्रकार के प्रस्तावों की व्याख्या कीजिए|

7. In what circumstances in which a court can wind up a company? State the Provisions in respect of company winding up.
किन-किन परिस्थितियों में न्यायालय कम्पनी का समापन कर सकता है? अनिवार्य समापन के सम्बन्ध में वैधानिक व्यवस्थाओं क उल्लेख कीजिए|

8. What is ultra-vires borrowing? What remedies are open to lender if a company resort to Ultra-vires borrowing?
नियमों के बाहर कर्ज लेना क्या है? यदि एक कम्पनी नियमों के बाहर कर्ज लेती है तो कर्जदाता को क्या उपचार उलपब्ध है?
