Note:- This paper is divided into five Sections- A, B, C, D, & E. Section-A (Short Answer Questions) contains one question of ten parts requiring short answer. All these ten parts are compulsory. Sections- B, C, D, & E (Descriptive Answer Question) each contains two questions. Attempt one question from each Section. Answer must be descriptive.

इस प्रश्न-पत्र को पांच खण्डों-अ, ब, स, द, एवं इ में विभाजित किया गया है | खण्ड-अ ( लघु उत्तरीय प्रश्न) में एक लघु उत्तरीय प्रश्न है, जिसके दस भाग है | ये सभी दस भाग अनिवार्य है | खण्डों-ब, स, द, एवं इ (विस्तृत उत्तरीय प्रश्न) प्रत्येक में दो प्रश्न है | प्रत्येक खण्ड से एक प्रश्न कीजिए |विस्तृत उत्तर अपेक्षित है |

(Short Answer Question)

This Section contains one questions of ten parts requiring short answer, Each parts carries 4 marks.

इस खण्ड में एक प्रश्न के दस भागों के लघु उत्तर अपेक्षित है | प्रत्येक भाग 4 अकों का है |

1. (a)  Define a Private Company.

एक निजी कम्पनी को परिभाषित कीजिए |

(b) Who are promoters?

प्रवर्तक कौन है?

(c)What are the consequences of misstatement in a prospectus?

प्रविवरण में मिथ्या-वर्णन के क्या परिणाम है?

(d) Explain the legal provisions regarding issue of bonus shares.

बोनस अंश के सम्बन्ध में क़ानूनी प्रावधान समझाइए |

(e) What do you understand by a proxy?

प्रतिपुरुष से आप क्या समझते है?

(f) Who are occupiers?

परिभोगी कौन है?

(g) Define the term ‘factory’.

‘कारखाना’ शब्द को परिभाषित कीजिए |

(h) Distinguish between permanent disablement and temporary disablement.

स्थायी तथा अस्थायी अयोग्यता में अन्तर स्पष्ट कीजिए |

(i) Is it compulsory to register a trade union?

क्या श्रम संघ का पंजीकरण कराना है ?

(j) What do you understand by E.S.I. Fund?

कर्मचारी राज्य बिमा कोष से आप क्या समझते है?

Each sections contain two questions. Attempt one question from each section. Each question carries 15 marks. Answer must be descriptive.                                                                                                                                15*4 = 60

प्रत्येक खण्ड में दो प्रश्न है | प्रत्येक खण्ड में एक प्रश्न कीजिए | प्रत्येक प्रश्न में 15 अंको का है | विस्तृत उत्तर अपेक्षित है |

2. How is a company formed? Explain.

एक कम्पनी का निर्माण किस प्रकार किया जा सकता है ? व्याख्या कीजिए |

3. What are articles of association? What restrictions have been imposed on their alteration/

अंतर्नियम क्या है? उनके परिवर्तन पर क्या प्रतिबन्ध लगाए गए है?

4. Write notes on the following:

(i) Blank transfer

(ii) Forged transfer

(iii) Forged certificate.
