नोट : इस प्रशन को तीन खण्डो- अ, ब तथा स में भी विभाजित किया गया है | खण्ड-अ में विस्ततर-उतरीय प्रशन, खण्ड ब में लघु-उतरीय प्रशन तथा खण्ड स में अति लघु उतरीय प्रशन है | सभी खण्डो को हल करे |

खण्ड-अ (Section-A)
इस खण्ड में एक प्रशन के दस भागो के लघु उतरी अपेषित है प्रत्येक भाग 4 अंक का है |
- (i) सरकारी कम्पनी से आप क्या समझते है ? What do you mean by a Government Company ?
(ii) अंतर्नियम क्या है ? What is Articles of Association ?
(iii) प्रविवरण क्या है ? What is Prospectus ?
(iv) साधारण प्रस्ताव व् विशेष प्रस्ताव में अन्तर बताईये | Distinguish between ordinary resolution and special resolution.
(v) गणपूर्ति से आप क्या समझते है ? what do you understand by Quorum ?
(vi) अंश कितने प्रकार के होते है ? What are the kinds of share ?
(vii) दोहरे कार्य पर क्या प्रतिबन्ध है What restrictions have been placed on double employment ?
(viii) श्रम नियायालय क्या है ? What is babour-court ?
(ix) अस्थायी अयोग्यता का क्या अर्थ है ? What is the meaning of temporary disablement ?
(x) छटनी के सम्बन्ध में क्या प्रावधान है ? What are the provision regarding retrenchment ?
खण्ड-ब (Section-B)
प्रत्येक खण्ड में दो प्रशन है | प्रत्येक खण्ड से एक प्रशन कीजिए | प्रत्येक प्रशन 15 अंक का है | विस्तत्र उतर अपेक्षित है |
Each Section contains two question. attempt one question from each Section. Each question carries 15 Marks. Answer must be descriptive.
2. “एक कम्पनी का अस्तित्व प्रथक होता है” क्या आप इस कथन से सहमत है ? निर्णीत विवाद की सहायता से अपने उतर का समर्थन करे |”
A Company is a separate entity. Do you agree ? Support your answer with the help of case law.”

3. पार्षद सिमानियम क्या है ? उदेश्य वाक्य में परिवर्तन किस प्रकार किया जा सकता है ?
What is Memorandum of Association ? How is the object clause altered ?
खण्ड-स (Section-C)
4. वार्षिक सिमानियम क्या है ? संक्षेप में इस सभा में होने वाले कार्य का वर्णन कीजिए |
What is an Annual General Meeting ? Briefly describe the business transacted at such a meeting.
अथवा
5. कम्पनी के समापन और विघटन में अन्तर बताईये संक्षेप में समापन की विभिन विधिय बताईये |
Distinguish between winding up and dissolution. State briefly the various methods of winding up.
खण्ड-द (Section-D)
6. ‘नवयुवक शब्द को परिभाषित कीजिए | कारखाना अधिनियम, 1948 में नवयुवको की नियुक्ति के सम्बन्ध में दिये गये मुख्य प्रावधान बताइए |
Define the term ‘young person’. Point out the main provisions of the Factories Act. 1948 regarding the employment of young persons.
अथवा
7. कारखाना अधिनियम के अन्तगर्त उन प्रावधानों को बताइए जो खतरनाक यन्त्रों से श्रमिको की सुरक्षा के लिए बनाये गये है |
Explain the provisions made for the safety of the workers against the dangerous machines under the Factories Act.
खण्ड-इ (Section-E)
8. निम्नलिखित में अन्तर बताइए Explain the difference between :
(i) छटनी तथा कार्य देने में असमर्थता | Retrenchment and lay off.
(ii) छटनी तथा समापन | Retrenchment and Closure
(iii) कार्य देने में असमर्थता तालाबन्दी Lay-off and lock-out.
9. क्या श्रम-सघ का पजीकरण कराना अनिवार्य है ? श्रम-संघ के पंजीकरण की विधि का वर्णन कीजिए | किन परिस्थिति में पंजीकरण को रद्द किया जा सकता है ?
Is it Compulsory to get the trade union registered? Describe the procdure of registratin of trade union under the trade union act. under what circumstances the registration be annuled ?
