B Com 2nd Year Corporate Low Question Paper 2015 :-

 

 

नोट : इस प्रशन को तीन खण्डो- अ, ब तथा स में भी विभाजित किया गया है | खण्ड-अ में विस्ततर-उतरीय प्रशन, खण्ड ब में लघु-उतरीय प्रशन तथा खण्ड स में अति लघु उतरीय प्रशन है | सभी खण्डो को निर्देशनुसार हल करे |

खण्ड-अ (Section-A)

इस खण्ड में छ: प्रशन है, किन्ही तिन प्रशनो को हल कीजिए | प्रत्येक प्रशन 10 अंक का है | विस्तर्ट उतर अपक्षित है |

1.  नीचे दिए उदाहरण में बताईये की क्या निजी कंम्पनी (Private Company) सावर्जनिक हो गयी है :

Given below are the details of shareholders of a Private Limited Company. Whether the company has become a Public Ltd. Co. ?

अंशधारी : Shareholders :

1. संचालक एव उनके सम्बन्धी Directors and their relatives
2. कर्मचारी Employees
3. भूतपूर्व कर्मचारी Ex-employees
4. पाच सयुक्त सदस्य (पति-पत्नी) 5 couples holding shares jointly in the names of husband and wife.
5. अन्य (Other)

2. रचनात्मक सुचना के सिद्धान्त एव उसके अपवादों को समझाइये | किसी महत्वपूर्ण वैधानिक विवाद का नाम भी लिखिए |

what is the “Doctrine to Indoor Management”? Discuss its exceptions and one decided case law.

3. स्नचालको को नियुक्त किस प्रकार होती है ? how are the directors appointed ?

4. एक कम्पनी की सभाओ के सम्बन्ध में ‘साधारण व्यवसाय’ एव ‘विशेष व्यवसाय’ का क्या अर्थ है ? उन सभीओ को भी बताईये जिसमे की ये व्यवसाय तय (transacted) किए जाते है |

Explain clearly the the meaning of ‘ordinary business’ and special business’ which may be transacted at the general meeting of the company. State also the meetings in Which is these business may be transacted.

5. नियमो के बाहर कर्ज लेना क्या है ? यदि एक कम्पनी नियमो के बाहर के कर्ज लेती है तो कर्जदाता को क्या उपचार उपलब्ध है ?

What is ultra-vires borrowing ? What remedies are open to a lender if a company resorts to ultra -vires borrowing ?

6. पार्षद सिमानियम एव अन्त्सिर्मनियमो में अन्तर कीजिए एव पार्षद सिमानियम की रजिस्टर्ड कार्यालय वाक्य में किस प्रकार परिवर्तन किया जा सकता है ?

Distinguish between the Memorandum of Association and Articles of Association. How can the registered office clause be altered ?

खण्ड-ब (Section-B)

इस खण्ड में तीन प्रशन है, किन्ही दो को हल कीजिए | प्रत्येक प्रशन 5 अंक का है |

This Section contains three questions, attempt any two questions. Each question carries 5 marks.

7. पार्षद सिमानियम की रचनात्मक सुचना का सिद्धान्त क्या है ? एक विधि मामले का नाम भी लिखिए |

What is the ‘Doctrine of Constructive Notice’? Also name one decided case law.

8. बहुमत का सिद्धान्त क्या है ? एक विधि द्विरा निशिचित विवाद का नाम भी लिखिए |

what is rule of majority ? Also name the decided law case in this respect.

9. अवैध संगठन क्या है ? एक अवैध सन्गठन को वैध कैसे बनाया जा सकता है ? यदि नही, तो क्यों ?

what is an illegal association ? Can be made legal association ? if not, why ?

खण्ड-स  (Section-c)

इस प्रशन के पाच भाग है, सभी भाग अनिवार्य है | प्रत्येक भाग 2 अंक का है |

(अ) विदेशी कम्पनी को परिभाषित कीजिए | Define a foreign company.

(ब) ‘आलमारी की दराज’ विवरण-पत्र क्या है ? What is a shelf prospectus ?

(स) अंशो के हस्तांतरण एव हस्तांक में क्या अन्तर है ?

What is the difference between transfer and transmission of shares ?

(द) अंशधारियों एव संचालको की कार्यवाही पुस्तक में प्रथक कोण और अधिकतम कितने समय में हस्ताक्षर करता है ?

Who sings the shareholders and Director’s Minute Book separately and in how much maximum period?
